Tie-breaking Procedure

Scoring and Advancement Criteria 

Gameplay 

These Official Sim Racing Tournament Rules (“Official Rules”) govern participation in the NXT UP NATION Sim Racing Tournament (the “Tournament”) produced and administered by Moontower Media, LLC d/b/a Nxt Up Nation (“NXT UP,” “Sponsor,” “we,” “us,” or “our”).
Tournament Date: November 20, 2026
Location: F1 Arcade Las Vegas
Tournament Type: Skill-based sim racing competition
The Tournament is a competition of skill. Winners will be determined by participant performance under objective racing, timing, scoring, and advancement criteria established for the Tournament. Winners will not be determined by random drawing or chance.
No wager or bet is required or accepted by NXT UP in connection with the Tournament. Tournament prize values are fixed and do not increase or decrease based upon the number of participants, Ticket sales, or Tournament entries.
1. Eligibility
To participate, a person must:
Be at least eighteen (18) years old at the time of the Tournament.
Hold a Ticket or registration that expressly includes Tournament participation.
Complete Tournament registration and check-in on November 20, 2026 before the participant’s assigned Tournament start time.
Execute NXT UP’s Tournament Participant Waiver, Release & Assumption of Risk before competing.
Complete any additional participation documentation reasonably required by NXT UP.
Comply with these Official Rules, the applicable NXT UP Ticket Terms & Conditions, F1 Arcade rules, and all reasonable safety and conduct requirements.
Be legally eligible to participate under applicable law.
A Ticket providing general Event admission does not include Tournament participation unless Tournament entry is expressly included in the applicable Ticket description.
NXT UP may require valid government-issued identification to verify eligibility.
Persons directly involved in Tournament administration, officiating, scoring, or equipment configuration may not participate where their involvement could create an actual or apparent competitive advantage or conflict of interest.
2. Registration and Check-In
Tournament registration and check-in must be completed on November 20, 2026 before the participant’s assigned Tournament start time.
Failure to timely register, check in, execute the required Tournament Participant Waiver, provide required documentation, or appear for an assigned race, heat, or session may result in forfeiture of Tournament participation.
Tournament entries are personal to the registered participant and are nontransferable.
3. Required Participant Waiver
Execution of NXT UP’s Tournament Participant Waiver, Release & Assumption of Risk is an express condition of participation.
No individual may participate in the Tournament without completing the required waiver before competing.
Completion of the waiver does not guarantee participation if the individual otherwise fails to satisfy eligibility, Ticket, registration, check-in, conduct, identification, or other Tournament requirements.
4. Skill-Based Competition
Tournament results will be determined by racing skill and participant performance.
Relevant skills may include:
Driving ability.
Vehicle control.
Racing line and technique.
Lap time.
Race time.
Consistency.
Finishing position.
Penalty avoidance.
Performance during qualifying, heats, or final rounds.
Random selection or chance will not determine Tournament winners.
Participants may not manipulate results, collude, intentionally underperform, receive unauthorized assistance, or engage in conduct that compromises the integrity of the competition.
NXT UP does not accept or administer wagers relating to Tournament results.
5. Tournament Format
The final gameplay format will be established before Tournament competition begins.
NXT UP will provide participants with the applicable operational rules governing the Tournament, including, as applicable, simulator equipment, vehicle selection, track selection, practice, qualifying, heats, advancement, race duration, timing, scoring, penalties, technical issues, and other gameplay matters.



The final gameplay procedures will form part of these Official Rules.
Gameplay procedures may be reasonably adjusted where necessary for safety, fairness, scheduling, equipment operation, technical issues, or competitive integrity, provided changes are administered in a reasonably fair and consistent manner.
6. Scoring and Winner Determination
Tournament results will be determined solely by skill-based performance under the Tournament gameplay rules.






NXT UP may use simulator-generated timing and scoring data together with Tournament officials to determine results.
Subject to applicable law, decisions of designated Tournament officials regarding gameplay, scoring, penalties, technical issues, advancement, and results will be final following reasonable review.
7. Equipment
Tournament simulators and related equipment will be provided or designated by NXT UP, F1 Arcade, or an applicable service provider.
Participants must use assigned equipment and settings and may not:
Alter or tamper with equipment.
Install or use unauthorized hardware or software.
Manipulate simulator settings without authorization.
Receive unauthorized assistance.
Interfere with another participant’s equipment or gameplay.
Knowingly exploit a technical malfunction, software error, or system vulnerability to gain an unfair advantage.
NXT UP may inspect equipment, gameplay records, timing data, system information, and other information reasonably necessary to protect Tournament integrity.
8. Technical Malfunctions
Sim racing depends upon electronic equipment, software, networks, and other technology that may experience technical issues.
If NXT UP determines that a material technical malfunction affected competitive fairness, NXT UP may:
Restart a session.
Require a rerun.
Restore a participant to a particular round.
Disregard affected results.
Use verified timing or scoring information.
Take another reasonably fair corrective action.
A participant is not automatically entitled to a restart or rerun because of participant error, ordinary driving errors, dissatisfaction with equipment, or circumstances that did not materially affect competitive fairness.
9. Tournament Officials
NXT UP may designate Tournament directors, judges, race officials, technical personnel, or other representatives to administer the Tournament.
Tournament officials may:
Interpret and enforce these Official Rules and gameplay rules.
Review timing and scoring.
Assess penalties.
Review technical issues.
Resolve ties.
Determine advancement.
Determine finishing positions.
Disqualify participants for rules violations.
Take reasonable action necessary to preserve safety and competitive integrity.
10. Prohibited Conduct
A participant may be penalized or disqualified for:
Cheating.
Equipment or software tampering.
Collusion.
Deliberately manipulating results.
Providing false eligibility information.
Receiving unauthorized assistance.
Interfering with another participant.
Attempting to circumvent Tournament rules.
Harassment or threats.
Unsafe or disruptive conduct.
Damaging Tournament or venue property.
Violating applicable law.
Violating F1 Arcade rules.
Failing to follow reasonable instructions from Tournament officials.
Conduct materially inconsistent with fair competition.
A participant disqualified for misconduct is not entitled to a replacement opportunity, prize, refund, credit, or other compensation except where required by applicable law.
11. Prizes
Subject to verification and compliance with these Official Rules, prizes will be awarded as follows.
First Place, Grand Prize
The first-place finisher will be eligible to receive:
One (1) all-inclusive race track hospitality ticket for the Formula 1 race in Las Vegas on Saturday, November 21, 2026.
Approximate Retail Value: $5,500
The Grand Prize includes only the admission, hospitality, food, beverage, viewing access, and other benefits expressly included with the applicable race hospitality ticket.
Unless expressly stated otherwise, the Grand Prize does not include:
Airfare or other travel.
Hotel accommodations.
Ground transportation.
Parking.
Additional tickets.
Guest access.
Upgrades.
Merchandise.
Personal expenses.
Any other goods or services not expressly included with the hospitality ticket.
Second Place
The second-place finisher will be eligible to receive:
One (1) RAFA Racing merchandise kit.
Approximate Retail Value: $200
Third Place
The third-place finisher will be eligible to receive:
One (1) RAFA Racing merchandise kit.
Approximate Retail Value: $200
Approximate aggregate retail value of all Tournament prizes: $5,900.
No other prize, benefit, cash payment, reimbursement, or compensation is included.
12. Grand Prize Conditions
The Grand Prize winner is responsible for transportation to and from the race and all costs not expressly included with the race hospitality ticket.
The Grand Prize is subject to the applicable terms, schedules, admission requirements, security procedures, restrictions, and policies of the ticket issuer, venue, race promoter, race organizer, hospitality provider, and other applicable third parties.
Failure to satisfy an applicable admission or provider requirement may result in inability to use the Grand Prize and will not create a right to a substitute prize, refund, credit, or compensation from NXT UP except where required by applicable law.
13. No Substitution, Transfer, Resale, or Cash Redemption
Tournament prizes are awarded only to the verified winner associated with the applicable finishing position.
Prizes:
Are nontransferable.
Are nonassignable.
May not be sold or resold.
May not be exchanged.
May not be substituted by a winner.
Are not redeemable for cash.
Must be accepted as awarded.
NXT UP is not obligated to provide a substitute prize, replacement prize, cash equivalent, credit, reimbursement, or other compensation if a winner declines, cannot accept, cannot use, or fails to timely claim or use the applicable prize, except where required by applicable law.
If a third-party prize becomes unavailable because of circumstances outside NXT UP’s reasonable control, NXT UP will have no obligation to provide a substitute, replacement, or cash equivalent except where required by applicable law.
14. Winner Verification
Being announced or identified as a winner does not create an unconditional right to receive a prize.
Each first-, second-, and third-place finisher must:
Satisfy all eligibility requirements.
Comply with these Official Rules.
Provide requested identification and verification information.
Complete any required prize acceptance documentation.
Provide applicable tax information reasonably required by NXT UP.
Satisfy applicable Ticket, venue, race, hospitality, or prize-provider requirements.
Failure to timely satisfy applicable requirements may result in forfeiture.
Where reasonably practicable, a forfeited prize may be awarded to the next eligible finisher based solely upon Tournament results.
15. Taxes
Prize recipients are solely responsible for federal, state, local, and other taxes and reporting obligations arising from receipt or use of a prize, except to the extent applicable law places a reporting obligation on another party.
NXT UP may require information and documentation reasonably necessary to satisfy applicable tax-reporting obligations, including a completed Form W-9 where applicable.
NXT UP may report prize value to applicable taxing authorities and issue tax documentation where required by law.
The stated Approximate Retail Value is not tax advice, and the actual taxable value of a prize will be determined under applicable tax law.
16. Assumption of Risk
Tournament participation and attendance at live events involve inherent and other risks, including risks associated with:
Simulator equipment.
Seating and movement.
Physical activity.
Crowds.
Lighting.
Sound.
Slips and falls.
Other participants.
Equipment.
Venue conditions.
Actions of independent third parties.
To the fullest extent permitted by applicable law, participants voluntarily assume risks ordinarily and reasonably associated with Tournament participation.
Additional risk acknowledgements and releases are contained in the required Tournament Participant Waiver, Release & Assumption of Risk.
Nothing in these Official Rules releases or limits liability to the extent such liability cannot lawfully be released or limited.
17. Release and Limitation of Liability
To the fullest extent permitted by applicable law, each participant releases, waives, and holds harmless Moontower Media, LLC d/b/a Nxt Up Nation, its affiliates, and their respective members, managers, officers, directors, employees, agents, representatives, contractors, service providers, Tournament officials, and other parties acting on NXT UP’s behalf from claims, liabilities, damages, losses, costs, and expenses arising out of or relating to Tournament participation or acceptance, possession, use, misuse, or inability to use a Tournament prize, except to the extent such liability cannot lawfully be released.
To the fullest extent permitted by applicable law, NXT UP will not be liable for:
Indirect damages.
Incidental damages.
Consequential damages.
Special damages.
Exemplary damages.
Punitive damages.
Lost income.
Lost profits.
Lost opportunity.
Lost business.
Lost goodwill.
Travel expenses.
Accommodation expenses.
Other expenses resulting from inability to participate in the Tournament or use a prize.
To the fullest extent permitted by applicable law, NXT UP’s aggregate liability arising out of or relating to the Tournament or any Tournament prize will not exceed the greater of the amount actually paid to NXT UP by the claimant specifically for Tournament participation or the value of the prize actually awarded to that claimant.
Nothing in these Official Rules excludes or limits liability that cannot lawfully be excluded or limited.
18. Independent Third Parties
F1 Arcade, Formula 1 race organizers or promoters, venues, ticket issuers, hospitality providers, technology providers, simulator or equipment providers, sponsors, and other service providers may be independent third parties.
Unless expressly stated otherwise, they are not employees, agents, partners, or joint venturers of NXT UP.
NXT UP does not exercise operational control over independent third parties.
To the fullest extent permitted by applicable law, NXT UP is not responsible for their independent acts, omissions, cancellations, delays, policies, equipment, services, or decisions.
19. Race Event Changes or Cancellation
The Grand Prize involves admission to a third-party Formula 1 race and hospitality experience.
NXT UP does not control the scheduling, operation, postponement, cancellation, venue, admission policies, hospitality offering, or other decisions relating to the race.
If the race or associated hospitality ticket is cancelled, postponed, relocated, modified, or otherwise unavailable because of circumstances outside NXT UP’s reasonable control, NXT UP is not obligated to provide a substitute, replacement, cash reimbursement, credit, or additional compensation except where required by applicable law.
20. Tournament Modification, Suspension, or Cancellation
NXT UP may modify, suspend, postpone, or cancel all or part of the Tournament where reasonably necessary because of:
Equipment failure.
Technical malfunction.
Venue issues.
Safety or security concerns.
Government action.
Severe weather.
Force majeure.
Fraud or tampering.
Circumstances affecting competitive integrity.
Other circumstances outside NXT UP’s reasonable control.
Where the Tournament cannot be completed, NXT UP may determine results using completed, objectively valid competition results if doing so is reasonably fair.
If a fair result cannot reasonably be determined, NXT UP may cancel the Tournament without declaring a winner, subject to applicable law.
21. Photography, Video, Livestreaming, and Publicity
The Tournament and associated Event may be photographed, filmed, recorded, broadcast, or livestreamed.
By participating, each participant acknowledges that the participant’s:
Image.
Likeness.
Voice.
Gameplay.
Username or participant name.
Tournament results.
Appearance.
may be captured as part of Tournament and Event coverage.
Applicable permissions, releases, and permitted uses will also be governed by the Tournament Participant Waiver, Release & Assumption of Risk and applicable law.
22. Participant Information
NXT UP may collect and use information reasonably necessary to:
Administer the Tournament.
Verify eligibility.
Communicate with participants.
Determine results.
Fulfill prizes.
Maintain Tournament records.
Provide security.
Administer applicable tax reporting.
Comply with legal obligations.
NXT UP’s processing of personal information is governed by the NXT UP NATION Privacy Policy.
23. Compliance With Law
The Tournament is intended to operate as a skill-based competition, with winners determined by participant performance rather than random selection.
NXT UP does not accept wagers or bets in connection with Tournament results.
Prize values are fixed in advance and do not depend upon Ticket revenue, Tournament entries, the number of participants, or amounts paid by participants.
NXT UP may modify Tournament procedures where reasonably necessary to comply with applicable law, regulatory requirements, venue requirements, or lawful governmental instructions.
A person whose participation would violate applicable law is not eligible to participate.
24. No Employment or Other Relationship
Participation does not create an employment, agency, partnership, joint venture, fiduciary, sponsorship, endorsement, or other ongoing relationship between a participant and NXT UP.
25. Governing Law and Venue
These Official Rules and disputes arising directly from the Tournament will be governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the fullest extent permitted by applicable law, any dispute permitted to proceed in court must be brought in the applicable state or federal courts located in Clark County, Nevada.
Nothing in these Official Rules deprives a participant of a nonwaivable right provided by applicable law.
26. Severability
If any provision of these Official Rules is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and the remaining provisions will remain effective.
27. Interpretation and Order of Precedence
These Official Rules govern Tournament participation.
The final gameplay procedures govern race format, timing, scoring, advancement, penalties, technical procedures, and other gameplay matters.
The Tournament Participant Waiver, Release & Assumption of Risk governs participant releases and risk acknowledgements.
The NXT UP Ticket Terms & Conditions govern Ticket purchases and general Event admission.
Where applicable terms conflict, the more specific terms control with respect to their particular subject matter.
